Terms and Conditions

1. What this document covers

This document sets out the terms under which Logicon sells the services on this website: the Simple Website, the Smart Website, the Autonomous Website, the add-ons in the catalog, the AI assistant for an existing website, the AI voice agent, AI Promotion and custom software. By sending an order, you confirm that you have read and accept these terms. Full company identification details are provided on request, at start@logicon.ro.

2. Placing an order

For products with a listed price, orders are sent through the order form. You promptly receive confirmation of the chosen product, the pro forma invoice and the 10 questions we use to write your website copy. For services priced in a quote (the AI voice agent, AI Promotion, custom software and items marked “from”), requests are sent through the assistant on the Contact page or by e-mail. Within two business days you receive a written quote stating exactly what the work includes, which integrations with other software are made, the price and the deadline. The order goes into production when you confirm the quote by e-mail. Any additional work is quoted separately.

3. Prices and payment

Prices on this website are in euros. Payment is made in two installments, against invoice: half upon order confirmation, within 5 business days, and half at launch, unless the quote states otherwise. The price covers the first 12 months: website hosting and the services and support described on the product page. For the following year, you pay only if you want us to continue, yearly, at the price listed there. The AI assistant for an existing website, the AI voice agent and AI Promotion have a setup price and an amount paid once a year, in advance. Invoices issued in Romanian lei (RON) use the exchange rate of the National Bank of Romania on the invoice date. Payment is made exclusively by bank transfer.

4. Deadlines

Deadlines are counted in business days, from order confirmation and from receipt of the materials: the answers to the 10 questions, text, photos, account access and the data for integrations with other software. Simple Website: 3 business days. Smart Website: 5 business days. Autonomous Website: 10 business days. Catalog add-ons: 1–5 business days, according to the deadline stated for each. Services priced in a quote go live within the timeframe stated in the quote, after being tested on real data in a test environment. If materials or access are delayed, the deadline moves by the same number of days.

5. How you accept the work

Before launch, you receive a private link where you can see the finished work. The Smart Website includes one round of revisions, and the Autonomous Website two. You have 5 business days to send us, in writing, what you would like changed. Anything within the scope of the confirmed work is done at no extra cost. If no message arrives within these 5 days, the work is considered accepted.

6. The first 12 months and what comes after

The price covers 12 months: website hosting, the domain name, the security certificate, daily backups, uptime monitoring, security updates and the content edits described on the product page. In numbers: up to 10 pages for the Simple Website, 20 for the Smart Website and 50 for the Autonomous Website; assistant conversations, appointments and requests are included for a business's normal use, with the AI cost included in the price, and for unusually high volumes we agree on the details beforehand; edits published by us are one per month for the Simple Website, 3 per month for the Smart Website and unlimited for the Autonomous Website; hosting is sized for a business website, with normal traffic included and backups kept for 30 days; we respond quickly; the calendar and the customer list can be used by your whole team. Anything beyond these figures is added from the add-on catalog or through a written quote, with the price known in advance. At least 30 days before the year ends, you receive a renewal offer. Renewal happens only if you request it, yearly. You may move your website to another provider at any time, in which case we hand over all the files and the database.

7. The website belongs to the client

Once the full price has been paid, the rights to the software written specifically for the project pass to the client, and the website belongs to the client, including its files and database. Third-party components, meaning open-source libraries and services from other companies, remain under their own licenses, and the client uses them under the terms of those licenses. Logicon may reuse general-purpose code created earlier. Text, photos, logos and data supplied by the client remain the client's property, and the client confirms having the right to use them.

8. Warranty

We provide a 12-month warranty for operation as agreed. Under warranty, we fix build defects reported in writing at no extra cost. For services in operation, we monitor how they run, receive error alerts and step in when an integration with another program, a data format or a tax rule changes. The warranty covers the work in the form in which it was delivered. Changes made to the software by the client or by third parties, a move to other hosting chosen by the client, and outages at third-party companies are handled as separate work.

9. The client's responsibilities

The client sends the answers to the 10 questions, the materials and the required access on time. The client appoints one person to make decisions and keeps the passwords received secure. Content sent for publication complies with the law and with the rights of others.

The client is responsible for the content of their website, for the information the assistant works from and for their legal obligations toward their visitors and customers: informing them, the website's privacy and cookie policies, the legal basis for the data collected, responding to requests from data subjects and dealing with the authorities. By placing an order, the client confirms that they meet these obligations.

10. The AI assistant

The assistant on the website answers from the information the client provides about services, prices and opening hours. Anything outside this information is passed on to the business. Conversations are processed by the AI platform that provides the language model, under that platform's own terms and privacy policy. The client decides what information the assistant receives and where its answers go.

On the client's website, the controller of visitors' personal data is the client, the owner of the website and the assistant. The client decides what data is collected, for what purpose and for how long it is kept, and publishes their website's privacy policy. Logicon builds and operates the assistant on the client's instructions and uses visitors' data only for this work. Answers are generated automatically by the AI platform, from the information received from the client. The client checks this information and the answers, before launch and throughout use, and is responsible for what the assistant communicates to visitors. Logicon delivers a working assistant but does not guarantee the content of each generated answer.

For visitors' data, Logicon acts as a processor within the meaning of Article 28 of the GDPR, and this section serves as the data processing agreement. Logicon processes the data only on the client's instructions, given through the order and in writing, and only as far as the work requires; keeps the data confidential; uses, with the client's consent given through the order, the hosting company, the e-mail provider and the chosen AI platform; and, when the collaboration ends, hands the data over to the client or deletes it, at the client's choice. All requests from data subjects and authorities regarding this data are handled by the client, and Logicon assists with the technical information it holds.

The data of people who write to us on logicon.ro is handled according to our privacy policy.

11. Confidentiality

Information about the client's business that we access during the work remains confidential and is used only for the work. This obligation continues after the collaboration ends.

12. Limitation of liability

Logicon's total liability, for any cause, is limited to the amount paid by the client in the last 12 months for the service in which the damage occurred. Our liability excludes indirect losses, lost profits, data loss where the client kept no backup of their own, outages at third-party companies, processing carried out by AI platforms under their own terms, changes those platforms decide to make to integrations between programs, the content of AI-generated answers and events of force majeure.

The client assumes and covers any claim, fine, damages or expense, including attorneys' fees, brought against Logicon because of the website's content, the information given to the assistant, the personal data collected on the client's website or a breach of the client's obligations under these terms. These limits apply to the extent permitted by law.

13. Ending the collaboration

Either party may end the collaboration by written notice sent 30 days in advance. Work completed up to that point is invoiced according to the confirmed stage. Services paid for a year remain active until the end of the paid period.

14. Complaints

Complaints are sent to start@logicon.ro and receive an answer within 5 business days at most. We first seek an amicable agreement. Individual consumers may also contact ANPC (Autoritatea Națională pentru Protecția Consumatorilor, Romania's National Authority for Consumer Protection), through its alternative dispute resolution procedure, at anpc.ro.

15. Governing law and changes to this page

These terms are governed by Romanian law. Disputes that cannot be resolved amicably go to the competent courts. An order is governed by the version published on this page on the day the order is confirmed. Later changes apply to new orders.
